Ambasada Japonii przekazuje wyrazy szacunku Ministerstwu Spraw Zagranicznych Rzeczypospolitej Polskiej i ma zaszczyt powołać się na prowadzone dotąd rozmowy pomiędzy przedstawicielami Rządu Japonii i Rządu Rzeczypospolitej Polskiej dotyczące Umowy między Rządem Japonii a Rządem Rzeczypospolitej Polskiej w sprawie Studium Wykonalności Prywatyzacji Polskich Kolei Państwowych S.A. (PKP S.A.) i proponuje:

1. Rząd Japonii przystąpi, zgodnie ze stosownymi ustawami i przepisami obowiązującymi w Japonii, do badań w zakresie Studium Wykonalności Prywatyzacji Polskich Kolei Państwowych S.A. (PKP S.A.).

2. Rząd Rzeczypospolitej Polskiej udzieli przywilejów, zwolnień i innej pomocy Japońskiemu zespołowi badawczemu koniecznych dla przeprowadzenia studium, których zestawienie w formie aneksu załączone jest do niniejszej noty, oraz przedsięweźmie potrzebne środki dla zapewnienia bezpieczeństwa członkom grupy badawczej.

3. Wynikające z niniejszych uzgodnień szczegóły i sposoby dotyczące współpracy będą wprowadzone w życie poprzez zawarcie kontraktu pomiędzy Japońską Międzynarodową Agencją Współpracy a Ministerstwem Infrastruktury i Polskimi Kolejami Państwowymi S.A.

Ambasada Japonii ma dodatkowo zaszczyt zaproponować, aby niniejsza nota wraz z zawierającą na nią odpowiedź notą Ministerstwa Spraw Zagranicznych Rzeczypospolitej Polskiej, wyrażającą w imieniu Rządu Rzeczypospolitej Polskiej zgodę na powyższą propozycję, były uważane za ustanawiające Umowę pomiędzy Rządem Japonii a Rządem Rzeczypospolitej Polskiej w sprawie Studium Wykonalności Prywatyzacji Polskich Kolei Państwowych S.A. (PKP S.A.).

ANEKS

Zobowiązania Rządu Rzeczypospolitej Polskiej

1. W celu ułatwienia sprawnej realizacji Umowy między Rządem Japonii a Rządem Rzeczypospolitej Polskiej w sprawie Studium Wykonalności Prywatyzacji Polskich Kolei Państwowych S.A. (PKP S.A.) (zwanego dalej „Studium") Rząd Polski podejmie zgodnie z prawem wewnętrznym Rzeczypospolitej Polskiej konieczne środki dla:

1) zapewnienia bezpieczeństwa Japońskiemu Zespołowi Konsultantów (zwanemu dalej „Zespołem") w czasie przebiegu prac badawczych, jeśli jest to niezbędne;

2) pozwolenia członkom Zespołu na wjazd, wyjazd i pobyt w Polsce w okresie realizacji przez nich Studium oraz wyłączenia ich z wymogu rejestracji i ponoszenia opłat konsularnych stosowanych wobec obcokrajowców;

3) zwolnienia członków Zespołu od podatków, ceł, opłat oraz innych obciążeń finansowych w związku z wwozem do Polski sprzętu, urządzeń i aparatów oraz innych materiałów potrzebnych do przeprowadzenia Studium;

4) zwolnienia członków Zespołu od podatku dochodowego i jakichkolwiek tego rodzaju opłat naliczanych w związku z honorariami bądź dodatkowym wynagrodzeniem wypłacanymi członkom Zespołu za świadczoną przez nich pracę przy realizacji (wdrażaniu) Studium;

5) zapewnienia niezbędnych ułatwień dla Zespołu w dokonywaniu przekazów pieniężnych i korzystaniu ze środków finansowych przekazywanych z Japonii do Polski w związku z realizacją Studium;

6) zapewnienia wydania Zespołowi wymaganego przez stosowne władze zezwolenia na przekazanie z Polski do Japonii wszystkich danych, dokumentów bądź materiałów badawczych, które są związane z wykonywanym Studium;

7) zapewnienia w razie potrzeby usług medycznych na koszt członków Zespołu.

2. Rząd Rzeczypospolitej Polskiej pokryje ewentualne roszczenia w stosunku do Zespołu powstałe w trakcie, pozostające w związku bądź w inny sposób związane ze spełnianiem obowiązku realizacji Studium, z wyjątkiem sytuacji, kiedy takie roszczenia powstają na skutek rażącego zaniedbania lub umyślnego złego prowadzenia nadzoru ze strony niektórych członków Zespołu.

3. Niniejsze zobowiązania Rządu Rzeczypospolitej Polskiej będą wiążące na czas realizacji Studium.

Ministerstwo Spraw Zagranicznych Rzeczypospolitej Polskiej przekazuje wyrazy szacunku Ambasadzie Japonii w Warszawie i ma zaszczyt potwierdzić otrzymanie noty Ambasady nr EJ-19/2002 z dnia 29 marca 2002 r., dotyczącej Umowy między Rządem Rzeczypospolitej Polskiej a Rządem Japonii w sprawie Studium Wykonalności Prywatyzacji Polskich Kolei Państwowych S.A. (PKP S.A.) o następującej treści:

"(...) 1. Rząd Japonii przystąpi, zgodnie ze stosownymi ustawami i przepisami obowiązującymi w Japonii, do badań w zakresie Studium Wykonalności Prywatyzacji Polskich Kolei Państwowych S.A. (PKP S.A.).

2. Rząd Rzeczypospolitej Polskiej udzieli przywilejów, zwolnień i innej pomocy Japońskiemu zespołowi badawczemu koniecznych dla przeprowadzenia studium, których zestawienie w formie aneksu załączone jest do niniejszej noty, oraz przedsięweźmie potrzebne środki dla zapewnienia bezpieczeństwa członków grupy badawczej.

3. Wynikające z niniejszych uzgodnień szczegóły i sposoby dotyczące współpracy będą wprowadzone w życie poprzez zawarcie kontraktu pomiędzy Japońską Międzynarodową Agencją Współpracy a Ministerstwem Infrastruktury i Polskimi Kolejami Państwowymi S.A. (...)".

Ministerstwo Spraw Zagranicznych Rzeczypospolitej Polskiej ma zaszczyt zakomunikować, że Rząd Rzeczypospolitej Polskiej wyraża zgodę na powyższe oraz aby nota Ambasady Japonii oraz niniejsza nota stanowiły Umowę między Rządem Rzeczypospolitej Polskiej a Rządem Japonii w sprawie Studium Wykonalności Prywatyzacji Polskich Kolei Państwowych S.A. (PKP S.A.), która wejdzie w życie z dniem otrzymania niniejszej noty zawierającej odpowiedź.

Ministerstwo Spraw Zagranicznych Rzeczypospolitej Polskiej korzysta z okazji, aby ponowić Ambasadzie Japonii wyrazy wysokiego poważania.

ANEKS

Zobowiązania Rządu Rzeczypospolitej Polskiej

1. W celu ułatwienia sprawnej realizacji Umowy między Rządem Japonii a Rządem Rzeczypospolitej Polskiej w sprawie Studium Wykonalności Prywatyzacji Polskich Kolei Państwowych S.A. (PKP S.A.) (zwanego dalej „Studium") Rząd Polski podejmie zgodnie z prawem wewnętrznym Rzeczypospolitej Polskiej konieczne środki dla:

1) zapewnienia bezpieczeństwa Japońskiemu Zespołowi Konsultantów (zwanemu dalej „Zespołem") w czasie przebiegu prac badawczych, jeśli jest to niezbędne;

2) pozwolenia członkom Zespołu na wjazd, wyjazd i pobyt w Polsce w okresie realizacji przez nich Studium oraz wyłączenia ich z wymogu rejestracji i ponoszenia opłat konsularnych stosowanych wobec obcokrajowców;

3) zwolnienia członków Zespołu od podatków, ceł; opłat oraz innych obciążeń finansowych w związku z wwozem do Polski sprzętu, urządzeń i aparatów oraz innych materiałów potrzebnych do przeprowadzenia Studium;

4) zwolnienia członków Zespołu od podatku dochodowego i jakichkolwiek tego rodzaju opłat naliczanych w związku z honorariami bądź dodatkowym wynagrodzeniem wypłacanymi członkom Zespołu za świadczoną przez nich pracę przy realizacji (wdrażaniu) Studium;

5) zapewnienia niezbędnych ułatwień dla Zespołu w dokonywaniu przekazów pieniężnych i korzystaniu ze środków finansowych przekazywanych z Japonii do Polski w związku z realizacją Studium;

6) zapewnienia wydania Zespołowi wymaganego przez stosowne władze zezwolenia na przekazanie z Polski do Japonii wszystkich danych, dokumentów bądź materiałów badawczych, które są związane z wykonywanym Studium;

7) zapewnienia w razie potrzeby usług medycznych na koszt członków Zespołu.

2. Rząd Rzeczypospolitej Polskiej pokryje ewentualne roszczenia w stosunku do Zespołu powstałe w trakcie, pozostające w związku bądź w inny sposób związane ze spełnianiem obowiązku realizacji Studium, z wyjątkiem sytuacji, kiedy takie roszczenia powstają na skutek rażącego zaniedbania lub umyślnego złego prowadzenia nadzoru ze strony niektórych członków Zespołu.

3. Niniejsze zobowiązania Rządu Rzeczypospolitej Polskiej będą wiążące na czas realizacji Studium.

The Embassy of Japan presents its compliments to the Ministry of Foreign Affairs of Republic of Poland, and has the honour to refer to the recent discussions held between the representatives of the Government of Japan and the Government of Republic of Poland concerning Agreement between the Government of Japan and the Government of Republic of Poland related to Feasibility Study of Polish State Railways S.A. (PKP S.A.) Privatisation and to propose as follows:

1. The Government of Japan will enter into survey, in accordance with the relevant laws and regulations of Japan, for the Feasibility Study of Polish State Railways S.A. (PKP S.A.) Privatisation.

2. The Government of Republic of Poland will accord privileges, immunities and other benefits to the Japanese survey team necessary for the conduct of the survey which constitute an annex set to the present note and will take necessary measures to secure the safety of the survey team members.

3. The details and procedures for co-operation in the present arrangements shall be provided for in the implementing arrangements to be agreed upon between the Japanese International Co-operation Agency, the Ministry of Infrastructure and Polish State Railways S.A.

The Embassy of Japan has further the honour to propose that the present Note and the Note of Ministry of Foreign Affairs of Republic of Poland in reply accepting on behalf of the Government of the Republic of Poland the foregoing proposal shall be regarded as constituting Agreement between the Government of Japan and the Government of Republic of Poland related to Feasibility Study of Polish State Railways S.A. (PKP S.A.) Privatisation.

ANNEX

Undertakings of the Government of Poland

1. To facilitate smooth conduct of Agreement between the Government of Japan and the Government of Republic of Poland related to Feasibility Study of Polish State Railways S.A. (PKP S.A.) Privatisation (hereinafter referred to as "the Study") in accordance with internal legislation of Republic of Poland the Government of Poland shall take necessary measures:

1) to secure the safety of the Japanese Study Team (hereinafter referred to as "the Team") when and as it is required in the course of the Study;

2) to permit members of the Team to enter, leave and sojourn in Poland for the duration of their assignment therein, and exempt them from foreign registration requirements and consular fees;

3) to exempt the members of the Team from taxes, duties, fees and any other charges on equipment, machinery and other materials brought into Poland for the conduct of the Study;

4) to exempt the members of the Team from income taxes and charges of any kind imposed on or in connection with any emoluments or allowances paid to the members of the Team for their service in connection with the implementation of the Study;

5) to provide necessary facilities to the Team for remittance as well as utilisation of the funds introduced into Poland from Japan in connection with the implementation of the Study;

6) to secure permission which is considered and issued by the relevant authorities for the Team to take all data, documents and materials related to the Study out of Poland to Japan; and

7) to provide the medical services as needed and its expenses will be chargeable on members of the Team.

2. The Government of Republic of Poland shall bear claims, if any arises, against the members of the Team resulting from, occurring in the course of, or otherwise connected with, the discharge of their duties in the implementation of the Study, except when such claims arise from gross negligence or wilful misconduct on the part of the members of the Team.

3. These undertakings of the Government of Republic of Poland will be binding in the period of conducting of the Study.

The Ministry of Foreign Affairs of the Republic of Poland presents its compliments to the Embassy of Japan in Warsaw and has the honour to acknowledge the receipt of the Embassy's Note No. EJ-19/2002 dated 29th of March 2002, concerning Agreement between the Government of the Republic of Poland and the Government of Japan related to Feasibility Study of Polish State Railways S.A. (PKP S.A.) Privatisation of purview as follows:

"(...) 1. The Government of Japan will enter into survey, in accordance with the relevant laws and regulations of Japan, for the Feasibility Study of the Polish State Railways S.A. (PKP S.A.) Privatisation.

2. The Government of the Republic of Poland will accord privileges, immunities and other benefits to the Japanese survey team necessary for the conduct of the survey which constitute and annex set to the present note and will take necessary measures to secure the safety of the survey team members.

The Ministry of Foreign Affairs of the Republic of Poland has the honour to convey that the Government of the Republic of Poland agrees for the above mentioned and that the Embassy's Note and this Note will constitute Agreement between the Government of the Republic of Poland and the Government of Japan related to Feasibility Study of the Polish State Railways S.A. (PKP S.A.) Privatisation, which shall come into force at the day of receipt of this Note.

The Ministry of Foreign Affairs of the Republic of Poland avails itself of the opportunity to renew to the Embassy of Japan in Warsaw the assurances of its highest consideration.
